1. Introduction and Acceptance

Welcome to Shoplyste. These Terms of Service ("Terms," "Agreement") govern your use of the Shoplyste mobile application ("App," "Service," "Shoplyste") provided by Team 5 Entertainment SL ("we," "us," "our," "Company").

By downloading, installing, or using Shoplyste, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("you," "user") and Team 5 Entertainment SL.

2. Eligibility

You must be at least 13 years old to use Shoplyste. If you are under 18 years old (or the age of legal majority in your jurisdiction), you must have your parent or legal guardian's permission to use the App.

By using Shoplyste, you represent and warrant that:

  • You meet the age requirements above
  • You have the legal capacity to enter into this Agreement
  • You will comply with these Terms and all applicable laws

3. License to Use

3.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Shoplyste on your personal mobile device solely for your personal, non-commercial use. This license is additionally subject to the applicable end-user license agreement or platform terms of the storefront from which you downloaded the App (such as Apple’s Standard EULA or the Google Play Terms of Service).

3.2 License Restrictions

You agree NOT to:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove, alter, or obscure any proprietary notices on the App
  • Use the App for any commercial purpose or for the benefit of any third party
  • Rent, lease, lend, sell, sublicense, or distribute the App
  • Use the App in any manner that could damage, disable, or impair our services
  • Attempt to gain unauthorized access to any part of the App
  • Use automated systems or software to extract data from the App
  • Violate any applicable laws or regulations while using the App

3.3 Ownership

Shoplyste, including all intellectual property rights, remains the exclusive property of Team 5 Entertainment SL. These Terms do not grant you any ownership rights to the App.

4. Free Trial and Paid Plans

4.1 Free Trial Period

Shoplyste offers a 2-month free trial for new users. During the free trial:

  • You have full access to all App features
  • No payment is required
  • You may cancel your free trial at any time through your Apple App Store or Google Play Store account settings. To avoid being charged for the subsequent subscription period, you must cancel at least 24 hours before the trial ends, in accordance with Apple’s and Google’s subscription policies.
  • At the end of the trial, you may choose to continue using paid premium access by purchasing any paid plan then offered on the relevant Apple App Store or Google Play Store storefront and in the App. If you do not purchase a paid plan, your access to premium features will end when the trial ends.

4.2 Paid Plans and Pricing

After your free trial ends, Shoplyste may offer paid access through one or more purchase options, including an auto-renewable annual subscription and a one-time lifetime purchase. Unless expressly stated otherwise, all paid plans provide access to the same premium functionality, including existing premium features and future premium features made available to paying users. The applicable price for any plan will be the price displayed to you at the time of purchase on the relevant Apple App Store or Google Play Store storefront and, where shown, in the App’s Paywall or Shoplyste Plans screen. Prices may vary by country, currency, taxes, and Apple or Google pricing policies.

4.3 Family Sharing

Certain Shoplyste paid plans are designated as eligible for Apple Family Sharing or Google Play Family Library. Family Sharing is a product feature of those eligible purchases and is not a temporary promotion. Where a Shoplyste purchase is marked as Family Sharing-enabled, sharing is governed by Apple’s Family Sharing or Google Play Family Library feature and the relevant Apple or Google account, purchase-sharing, and family-group settings.

4.4 Purchase and Subscription Details

  • Billing: Paid plans are processed through your Apple App Store or Google Play Store account.
  • Payment: Payment will be charged to your Apple ID or Google account at confirmation of purchase.
  • Annual subscription: If you purchase an auto-renewable annual subscription, it renews automatically unless auto-renew is turned off at least 24 hours before the end of the current subscription period.
  • Renewal Charges: For subscriptions, your account will be charged for renewal within 24 hours before the end of the current subscription period.
  • Lifetime purchase: If you purchase a lifetime plan, it is a one-time non-consumable purchase and does not auto-renew.
  • Pricing and Changes: Prices for subscriptions and other paid plans are displayed on the applicable Apple App Store or Google Play Store storefront and may also be shown in the App’s Paywall or Shoplyste Plans screen for convenience. We may change offered plans or reference prices from time to time, but the price charged to you will be the price presented by Apple or Google at the time of purchase or renewal, subject to Apple’s or Google’s policies, notices, and consent requirements where applicable.

4.5 Managing Your Subscription

You can manage or cancel your auto-renewable subscription through your Apple App Store or Google Play Store account settings. One-time lifetime purchases do not renew and therefore are not managed as recurring subscriptions.

Cancellation of an auto-renewable subscription takes effect at the end of your current billing period. You will continue to have access to premium features until the subscription expires. If you purchase a lifetime plan, premium access continues without recurring renewal charges, subject to these Terms.

4.6 Promotional Offers

We may occasionally offer promotional pricing or other limited-time offers, including discounts, seasonal promotions, introductory campaigns, or other discretionary offers determined by us from time to time.

Any such promotional terms will be clearly stated at the time of offer and may include eligibility requirements, duration limits, and other conditions.

4.7 Upgrading to Lifetime Plan

Because Shoplyste utilizes a device-local storage architecture without centralized cloud servers, the App cannot automatically detect or cancel an active auto-renewable Shoplyste Premium subscription if you subsequently purchase a one-time Shoplyste Lifetime plan. If you choose to upgrade to the Lifetime plan while holding an active Premium subscription, you must manually cancel your recurring subscription through your Apple App Store or Google Play Store account settings.

Neither Team 5 Entertainment SL, Apple, nor Google are responsible for any continued subscription charges incurred if you fail to manually cancel your prior active subscription after purchasing the one-time Lifetime plan.

5. Refund Policy

5.1 Store-Specific Refund Processes

All purchases are processed through either the Apple App Store or the Google Play Store. Refund procedures differ based on your platform:

  • Apple App Store Purchases: Refund requests are subject to Apple’s refund policies and are handled exclusively by Apple. Team 5 Entertainment SL cannot process Apple App Store refunds.
  • Google Play Store Purchases: Refund requests made within 48 hours of purchase are processed by Google. Requests made after 48 hours are handled by Team 5 Entertainment SL.

5.2 Eligible Refund Scenarios

You may request a refund for a subscription or other paid purchase if:

  • You were charged for a purchase you didn’t authorize
  • The App doesn’t work as expected or described
  • You were charged in error or double-charged
  • You cancelled during the free trial but were still charged

5.3 How to Request a Refund

For Apple App Store Purchases:

  1. Visit Apple’s designated refund portal (such as the Report a Problem website).
  2. Sign in with your Apple ID.
  3. Select “Request a refund,” choose your reason, select Shoplyste, and submit your request.

For Google Play Store Purchases:

  1. Within 48 hours of purchase: Visit the Google Play Help Center or your Google Play account order history to request a refund directly from Google.
  2. After 48 hours of purchase: Contact us at admin@team5.dev with your reason for the request, your Google Play order receipt, and the specific order number.

5.4 Refund Decisions and Processing

  • Apple Decisions: Apple determines refund eligibility for iOS purchases on a case-by-case basis. We have no control over Apple’s refund decisions.
  • Google Decisions: Google determines eligibility for Android refund requests made within 48 hours.
  • Developer Decisions: For Google Play requests made to us after 48 hours, Team 5 Entertainment SL will evaluate requests on a case-by-case basis.
  • Processing: Approved refunds are returned to your original payment method. Processing times are determined by Apple or Google and typically take several business days.

5.5 No Refunds After Use

Because Shoplyste utilizes a device-local storage architecture, we cannot remotely verify your app usage or automatically revoke access to local offline data. Therefore, for Google Play purchases directed to us after 48 hours, refunds are generally not provided once the initial 48-hour window has passed, except where strictly required by applicable law. For Apple App Store purchases, each case is evaluated and decided individually by Apple according to their respective policies.

6. App Functionality and Features

6.1 Local-First Design

Shoplyste is a local-first application. All your data is stored on your device. We do not maintain servers that store or process your personal information.

6.2 Feature Availability

  • We reserve the right to add, modify, or remove features at any time
  • Some features may require specific device capabilities or OS versions
  • We will make reasonable efforts to notify users of significant changes

6.3 List Sharing

Shoplyste allows you to share shopping lists with others through third-party messaging services. When you share:

  • You are responsible for choosing appropriate recipients
  • Shared data is transmitted through your chosen messaging service (WhatsApp, iMessage, Email, etc.)
  • Privacy and security of shared data is governed by the messaging service's terms and policies
  • Recipients must have Shoplyste installed to import shared lists

6.4 No Backup Service

Because Shoplyste is local-first:

  • We do not provide cloud backup services
  • You are responsible for backing up your device to preserve your data
  • Uninstalling the App will permanently delete all local data
  • We are not liable for data loss resulting from device failure, loss, or theft

7. User Conduct and Acceptable Use

7.1 Permitted Use

You may use Shoplyste for:

  • Creating and managing personal shopping lists
  • Tracking personal shopping expenses
  • Sharing lists with family and friends for legitimate purposes

7.2 Prohibited Use

You agree NOT to use Shoplyste to:

  • Violate any local, national, or international law
  • Infringe on intellectual property rights
  • Transmit harmful, offensive, or illegal content through list sharing
  • Harass, abuse, or harm others
  • Collect or store other users' personal data
  • Interfere with or disrupt the App's functionality
  • Use the App for any commercial purpose without our written permission

8. Third-Party Services

8.1 App Stores

Shoplyste is distributed through the Apple App Store and Google Play Store. Your use of the App is also subject to:

  • The applicable storefront’s end-user license or platform terms (such as Apple’s Licensed Application End User License Agreement (Standard EULA) or the Google Play Terms of Service)
  • The applicable storefront’s service and transaction terms and conditions governing your account, purchases, billing, and renewals
  • The payment processing policies of the storefront from which you downloaded the App

8.2 Third-Party Messaging Services

When you use list-sharing features, you utilize third-party messaging services. We are not responsible for:

  • The functionality or availability of these services
  • Their privacy practices or data handling
  • Any costs incurred through their use

8.3 Third-Party Software

Shoplyste is built using third-party frameworks (React Native, Expo, Drizzle ORM). These operate locally on your device and do not transmit data to their developers.

9. Intellectual Property

9.1 Our Property

All content, features, and functionality of Shoplyste, including but not limited to:

  • Software code and architecture
  • User interface design
  • Graphics, logos, and icons
  • Text, images, and documentation
  • Trade names and trademarks

are owned by Team 5 Entertainment SL and protected by international copyright, trademark, patent, and other intellectual property laws.

9.2 Trademarks

"Shoplyste" and associated logos are trademarks of Team 5 Entertainment SL. You may not use our trademarks without prior written permission.

9.3 Your Content

You retain ownership of any content you create within Shoplyste (shopping lists, notes, spending records). By using the App, you grant us no rights to this content, consistent with our local-first, privacy-first design.

10. Disclaimers and Limitations of Liability

10.1 "As Is" Provision

SHOPLYSTE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Availability

We do not guarantee that:

  • The App will be available at all times or without interruption
  • The App will be error-free or secure
  • Any errors will be corrected
  • The App will meet your specific requirements

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP’S PAID PLAN OR PLANS IN THE 12 MONTHS PRECEDING THE CLAIM
  • SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU

The above limitations apply to Team 5 Entertainment SL’s own liability. Separately, the liability of Apple or Google is limited as set out in their respective storefront agreements and end-user license terms.

10.4 Data Loss

Because Shoplyste stores data locally on your device:

  • We are not responsible for data loss due to device failure, theft, loss, or damage
  • We are not responsible for data loss resulting from app uninstallation
  • We strongly recommend regular device backups through iCloud, Google One, or other device backup services

11. Indemnification

You agree to indemnify, defend, and hold harmless Team 5 Entertainment SL, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you share through the App

12. Privacy

Your privacy is important to us. Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

Key Privacy Points:

  • We do not collect, store, or transmit your personal data
  • All data is stored locally on your device
  • We do not have access to your shopping lists or spending information
  • List sharing is peer-to-peer through your chosen messaging service

13. Updates and Modifications

13.1 App Updates

We may release updates to Shoplyste from time to time, including:

  • Bug fixes and performance improvements
  • New features and enhancements
  • Security patches
  • Compatibility updates for new OS versions

You are responsible for downloading and installing updates. Some features may require the latest version.

13.2 Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top
  • We will notify you through the App or via email (if provided)
  • Material changes will be highlighted with reasonable notice
  • Continued use after changes constitutes acceptance of modified Terms
  • If you do not agree to changes, you must stop using the App and cancel your subscription, if applicable.

14. Account Termination

14.1 Termination by You

You may stop using Shoplyste at any time by:

  • Uninstalling the App from your device
  • Cancelling your auto-renewable subscription through the App Store or Google Play Store account settings at least 24 hours before renewal to avoid being charged, if applicable.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to Shoplyste if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your actions harm other users or the App's integrity
  • We are required to do so by law

14.3 Effect of Termination

Upon termination:

  • Your license to use the App ends immediately
  • You must uninstall the App from your devices
  • No refunds will be provided for any unused subscription period or paid purchase except as determined under the applicable Apple App Store or Google Play Store refund process described in Section 5.
  • Your local data will remain on your device until you uninstall the App

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

15.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for resolution of any disputes arising from these Terms or your use of Shoplyste.

15.3 Informal Resolution

Before initiating formal proceedings, please contact us at admin@team5.dev to attempt informal resolution of any disputes.

15.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or class-wide arbitration, to the extent permitted by law.

16. Platform-Specific Terms

16.1 Acknowledgement

You acknowledge that:

  • These Terms are between you and Team 5 Entertainment SL, not Apple or Google
  • Team 5 Entertainment SL, not Apple or Google, is solely responsible for the App and its content
  • Neither Apple nor Google has any obligation to provide maintenance or support services for the App

Shoplyste is distributed under the respective terms of the storefront you used to download the App. By downloading or using Shoplyste, you also accept the terms of Apple’s Standard EULA or the Google Play Terms of Service, as applicable, in addition to these Terms of Service.

16.2 Scope of License

Your license to use Shoplyste is limited to a non-transferable license to use the App on iOS or Android devices that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions or the Google Play Terms of Service.

16.3 Maintenance and Support

Neither Apple nor Google has any obligation to furnish maintenance or support services for the App. Team 5 Entertainment SL is solely responsible for providing support as specified in these Terms.

16.4 Warranty

Neither Apple nor Google is responsible for addressing any claims relating to the App, including:

  • Product liability claims
  • Claims that the App fails to conform to any applicable legal or regulatory requirement
  • Claims arising under consumer protection laws

16.5 Intellectual Property

Apple and Google, and their respective subsidiaries, are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16.6 Export Control

You represent and warrant that:

  • You are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country
  • You are not listed on any US Government list of prohibited or restricted parties

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Team 5 Entertainment SL regarding use of the App.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.

17.6 Survival

Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitations of liability) shall survive termination of these Terms.
